Overview
We are seeking a Senior Counsel to join the Global Manufacturing Law Department within the Downstream Law organization of Aramco.
The Downstream Law Organization is responsible for delivering comprehensive legal support across the company’s expansive energy portfolio. It manages the legal, commercial, and corporate‑governance matters of Saudi Aramco’s numerous international joint ventures, affiliates, and subsidiaries, especially within the downstream sector. The organization is currently expanding in line with a broader corporate initiative that includes growth in exploration, production, refining, marketing, petrochemicals, renewables, power, and other energy‑related businesses, providing sophisticated in‑house legal services to one of the world’s most successful energy companies.
Your primary role will be to lead and advise on both general corporate and commercial contracts matters for Downstream Law, including in both the Manufacturing & Power and the Global Legal Coordination Legal Practices. You will act as a trusted counsel on shareholder and governance issues, draft and negotiate complex commercial agreements, and ensure that the downstream entities operate in compliance with corporate governance standards while supporting Saudi Aramco’s strategic expansion into new energy sectors.
Key Responsibilities
As the successful candidate you will be required to perform the following:
- Provide corporate secretarial leadership for one or more entities, organizing and managing board meetings and advising on board authority and corporate governance matters for your organization.
- Assess shareholder issues and manage the interface between your entity, the parent organization, and affiliated companies.
- Perform comprehensive support for downstream client contracting and purchasing functions, drafting, reviewing, and negotiating contracts, operations and maintenance agreements, service agreements, and other commercial arrangements, including complex product supply and offtake agreements.
- Provide coordination of affiliate legal reporting, consolidating incoming matter updates and synthesizing key issues for senior‑management review.
- Assess and optimize the allocation of external counsel resources, establishing budgeting guidelines and performance metrics to achieve cost‑effective and efficient service delivery.
- Assess internal policy compliance, review and resolve claims, and deliver training to your personnel on a variety of legal matters.
Minimum Requirements
As the successful candidate, you will have:
- Bachelor’s degree in Law from a recognized and approved program. A Juris Doctorate / Master of Laws degree or equivalent is highly preferred.
- Current admission to general practice before the highest court of the state or country of which you are a citizen or resident.
- Minimum 12 years relevant work experience. Of which, at least 6+ years with a strong law firm, large corporation, or other sophisticated business organization.
- Relevant commercial contracts and general corporate experience, particularly in the Downstream chemicals and retail sectors.
- Excellent negotiation and communication skills; experience providing concise and clear support to clients; and leadership and mentorship experience.
- Strong coordination skills to coordinate affiliate legal reporting, consolidate matter updates, and independently review and summarize key issues for senior management
- Demonstrates proactive, data‑driven reporting that consolidates affiliate legal activities, highlights compliance gaps, and delivers clear, actionable insights to senior leadership on a regular cadence.
- Demonstrates ability to allocate resources efficiently, establishing budgeting guidelines and performance metrics that drive cost‑effective and streamlined legal service delivery
