Overview
We are seeking a Senior Counsel to join the Corporate Functions Law Department within the Business Law Organization or Aramco.
The Corporate Functions Law department are responsible for the delivery of broad-based legal services to the Company’s Corporate Functions to advance the commercial objectives of the client base while offering practical and solution-oriented strategies to manage legal risk. The Corporate Functions include virtually all of the Company’s Service Lines (other than Upstream and Downstream) including Technical Services (i.e, Procurement and Supply Chain, Project Management), HR & Corporate Services, Finance, Strategy & Corporate Development, and Technology & Innovation.
The Senior Counsel will serve as the primary legal support to each organization within the Corporate Functions providing legal services, among others, in relation to commercial contracts, transactions, affiliate matters, portfolio management, corporate governance, and contentious matters.
Key Responsibilities
As the successful candidate you will be required to perform the following:
- Work closely with the relevant internal Saudi Aramco client, bringing to bear sectoral experience and insight relevant to the client.
- Provide broad-based service, including, without limitation, strategic legal advice to senior leadership, day to day corporate and commercial legal support, preparation, review and negotiation of a broad range of contractual and governance instruments relevant to the client’s commercial mandate.
- Identify the need for and seek and obtain specialist legal input from across the Law Organization and provide consolidated legal support to the relevant client.
- May serve as the corporate secretary for one or more entities, organizing and managing board meetings, and advising as to board authority and corporate governance matters.
- Advise as to shareholder issues and manage the interface between the entity, the parent, and other affiliates.
- Advise as to internal policies, review and resolve claims, and provide training to company personnel on legal and compliance matters.
Minimum Requirements
As the successful candidate, you will have:
- A Bachelor of Law degree as minimum. Master or Juris degree preferred.
- Current admission to general practice before the highest court of the state or country of which you are a citizen or resident.
- A minimum of 7 years hands on experience gained in a large multinational corporation or law firm
- Relevant corporate and commercial legal experience
- Experience serving as corporate secretary to a sophisticated board of directors
- Experience providing concise and clear support to internal clients
- Energy industry (oil and gas, petrochemical, power or oil field services), construction industry, or international experience are a plus
